Jamal Dean Modir serves as the Deputy General Counsel for The Duckhorn Portfolio, one of America’s most esteemed wine companies, recognized for producing some of the world’s finest luxury wines. With a legacy spanning over four decades, Duckhorn is celebrated for its innovation, quality, and commitment to winemaking excellence. The company’s portfolio features eleven renowned brands, including Duckhorn Vineyards, Paraduxx, Goldeneye, Migration, Decoy, Sonoma-Cutrer, Calera, and Kosta Browne, with over 2,200 coveted acres of vineyards spread across 38 estate properties and eight tasting rooms.

While most wine companies remain privately owned, Duckhorn, staying true to its innovative roots, made the decision to go public in March 2021 as the largest pure-play luxury wine company. In August 2022, Duckhorn recruited Modir from Schwab, where he had served as a Managing Director. Since then, Modir has been instrumental in guiding the company through its post-IPO transition.

“Being a public company not only provides access to capital and liquidity for existing shareholders but also offers greater flexibility in mergers and acquisitions, with the added potential for stock-based deals,” Modir explains.

Brought on to build out Duckhorn’s public company and corporate legal functions, Modir’s frontline responsibilities include leading the company’s SEC compliance, corporate governance, and shareholder relations. His role extends beyond providing legal counsel—he plays a key part in helping Duckhorn navigate the various complexities of being publicly traded. From SEC filings and board meetings to equity administration and shareholder communications, Modir ensures that the company remains compliant with securities regulations while fostering strong investor relations and transparency.

“Good compliance isn’t just about following the rules; it’s about building a solid foundation to focus on what we do best—making great wines and driving industry leadership,” Modir says.

Managing complexities

One of Modir’s primary tasks at Duckhorn is overseeing all company securities matters, particularly in relation to the SEC, NYSE, and other public filings. Since his arrival, he has streamlined these processes, ensuring the company is always well-prepared for earnings calls and shareholder meetings. These efforts have been critical in allowing Duckhorn to avoid the pitfalls of regulatory paperwork, letting the company focus on strategic growth and expansion in the highly competitive wine industry. Modir highlights the importance of creating platforms that organize reporting functions and board and committee cycles, which can alleviate repetitive burdens on the company’s leadership team.

“The quarterly pressure of preparing for earnings, board meetings, and analyst calls can distract from focusing on strategy and growth. Once you’re public, you’re public—regardless of your size. For smaller companies, it’s essential to have a solid post-IPO team and processes in place to prevent each quarter from becoming a frantic or disruptive experience.”

Modir’s experience in mergers and acquisitions has also been pivotal as Duckhorn explores strategic growth through acquisitions. At Schwab, Modir was involved in numerous acquisitions, including Schwab’s $26 billion purchase of TD Ameritrade. His transition to the wine industry required him to learn a new industry’s landscape and language quickly. Modir notes that M&A in the wine world differs greatly from tech or finance, as many deals involve family-owned businesses with distinct priorities and valuation methods. Managing the pipeline of acquisition targets, reviewing diligence, and advising on structuring transactions are all part of the process. As a lead attorney on M&A, Modir supports all phases of deals, from transaction evaluation to integration, while providing strategic direction to the business and implementing best practices to a growing acquisition team. Most recently, Modir played a key role in Duckhorn’s $400 million acquisition of Sonoma-Cutrer Vineyards from Brown-Forman Corporation.

Overseeing equity, investor relations and ESG

In addition to his roles in securities compliance and corporate governance, Modir was tasked with managing Duckhorn’s equity compensation and supporting investor relations. From an equity perspective, he collaborates with outside counsel and vendors to ensure the company’s programs align with market standards. His background in corporate governance has been instrumental in creating procedures and timelines to support investor relations, ensuring that key strategic matters are reviewed and disclosed when necessary. This proactive approach has helped maintain investor confidence, enabling Duckhorn to focus on its long-term goals.

Modir’s team also oversees Duckhorn’s Environmental, Social, and Governance efforts. Shareholders, investors, and the public increasingly expect transparent reporting on ESG goals and metrics, making it a vital part of Duckhorn’s public company responsibilities.

“Serving as Deputy General Counsel of a smaller public company means being versatile, learning quickly, and wearing more hats than usual,” Modir explains.

As Duckhorn evolves, Modir plays a crucial role in leadership, recruitment, and retention. Entrepreneurship shaping legal leadership

Modir’s career reflects a blend of legal expertise and entrepreneurial experience. After earning a Master of Laws and an undergraduate degree from Duke University, as well as an MBA and JD from Santa Clara University, Modir worked as a corporate associate at a large international law firm, following by his time at Schwab, where he served for several years as Managing Director, Corporate Legal and Securities.

Since joining Duckhorn in August 2022, Modir has drawn on his entrepreneurial background—having started a company during graduate school—which provided valuable lessons that shape his leadership approach today. This blend of legal and business acumen has been vital in building credibility and fostering strong communication with business leaders and stakeholders.
