Matthew Toto – Palmetto

Navigating the legal landscape of clean energy

Palmetto is a software company that enables consumer adoption of climate technology products and services. It is known for its mission to combat climate change by making renewable energy accessible and affordable. The company offers residential solar panel installations, energy efficiency products, and innovative financing options. At the heart of Palmetto’s success is its ability to balance rapid growth with complex regulatory demands.

For Assistant General Counsel Matthew Toto, this challenge is a professional calling that merges his corporate legal expertise with his commitment to environmental sustainability.

Toto’s career is a testament to adaptability, growth, and purpose-driven work. A graduate of Bloomsburg University of Pennsylvania with a degree in English, he began his professional journey studying law at Drexel University’s Thomas R. Kline School of Law. His initial foray into litigation during law school at a plaintiff firm provided invaluable experience, but he found his true calling in the corporate legal world after graduation.

Toto’s formative professional experience came at Wilmington Trust, a subsidiary of M&T Bank, where he worked in compliance. This role immersed him in the intricacies of anti-money laundering regulations and the Bank Secrecy Act, driven by regulatory enforcement actions.

Here, Toto developed a foundational understanding of corporate operations and compliance, sparking his interest in pursuing in-house counsel roles. His subsequent positions solidified this path, beginning with a role as corporate counsel and compliance director for Nationwide Property & Appraisal Services and then as a corporate attorney and corporate secretary for NewLane Finance, a startup specializing in equipment leasing.

At NewLane, Toto thrived in the fast-paced environment of a burgeoning business. As one of the company’s early hires, he played an instrumental role in building its legal framework from scratch. This experience provided a crash course in startup operations, from policy development to strategic planning, and further deepened his commitment to corporate law. However, Toto’s transition to Palmetto in September 2022 marked a significant pivot—aligning his legal acumen with a mission to combat climate change.

Squashing legal bugs

While not an environmental lawyer by training, Toto found Palmetto’s mission deeply resonant. The company’s focus on solar energy and its potential to reduce carbon emissions allowed him to contribute to a cause he valued personally while applying his expertise in corporate law.

“Joining Palmetto allowed me to align my career with my values,” he reflects. “It’s gratifying to work on something that has a tangible positive impact on the environment.”

At Palmetto, Toto’s role is as diverse as it is dynamic. As part of a lean legal team, he juggles multiple responsibilities, from strategic transactions to customer escalations. One of his primary focuses is the company’s lease and power purchase agreement products. These innovative financing options are pivotal to the company’s growth. Launched a year before Toto’s arrival, these products are still evolving, and he works closely with tax equity partners and large corporations to refine and expand them.

Beyond transactional work, Toto’s role involves problem-solving on a granular level. He frequently handles customer escalations requiring legal intervention, blending his skills in litigation, process improvement, and cross-departmental collaboration. By identifying operational inefficiencies that lead to negative customer experiences, he helps develop long-term solutions that enhance Palmetto’s performance.

Leading by example

Toto also oversees a small but critical team of paralegals and licensing specialists. He is responsible for ensuring compliance with contractor licensing, a crucial aspect of Palmetto’s operations as a residential construction company. This work underscores the legal department’s essential role in supporting the company’s operational integrity while facilitating its growth.

The broader legal landscape for clean technology solar companies in 2025 presents unique challenges, and Toto is at the forefront of navigating these complexities. The rapid expansion of renewable energy has brought increased scrutiny from regulators, requiring companies like Palmetto to develop robust policies around Know Your Customer (KYC) procedures, debt collection, credit approvals, and denials.

“Our focus on compliance ensures that Palmetto remains ahead of potential legal pitfalls while scaling its operations,” Toto says.

One of the most exciting aspects of his work is integrating new technologies and products that align with Palmetto’s mission. In addition to solar energy, the company is exploring offerings such as heat pumps, energy-efficient HVAC systems, and smart home thermostats. While still in the early stages, these products represent a broader vision for reducing carbon emissions and deepening customer engagement. For Toto, supporting these initiatives legally and strategically is a profoundly fulfilling part of his role.

A changing industry

As the legal profession evolves, Toto sees the rise of artificial intelligence (AI) as both an opportunity and a challenge.

“AI can revolutionize how lawyers work, particularly in contract review and drafting,” he notes. “But it’s not without risks. Legal nuances and business-specific applications require human oversight to avoid exposure.”

Toto emphasizes the importance of understanding AI’s capabilities and limitations, a balance that will be essential for lawyers and professionals across industries.

Reflecting on his journey, Toto is grateful for the opportunity to contribute to Palmetto’s mission while leveraging his corporate legal expertise.

“The most rewarding part of my role is shaping the company’s growth in a compliant and sustainable way,” he says. “It’s exciting to be part of a team that’s not just building a business but making a meaningful impact on the world.”

As solar energy continues to expand its role in combating climate change, legal professionals like Toto will remain crucial to navigating the challenges and opportunities of this rapidly evolving industry. Through his work at Palmetto, Toto exemplifies how corporate law can drive innovation and sustainability in the clean energy sector.

Testimonials

As promised in advance, my feature in Vanguard has increased my visibility within the profession and prompted more than a few people I have not communicated with recently to reconnect. One of the Italian law firms I have used in the past is now in the process of interviewing me for an article on their website and tweeting out the feature story. Activity and the number of people connecting with me on LinkedIn has soared, which is great. The Vanguard writers and editorial staff were great to work with—highly professional and made the effort to make the experience both fun and rewarding (they were also respectful of the time pressures and demands all lawyers face). I was very pleased with the experience and the final outcome. Needless to say, I have been very pleased. All in all working with Vanguard has been a very positive experience which generated good publicity for both Shawcor and myself. My sincere thanks.
– Tim Hutzul, General Counsel, ShawCor Ltd.
I was honored to be the subject of an article. I enjoy reading Vanguard articles and seeing how other attorneys got to their positions and see their jobs. It's also interesting to see how different law firms partner with the subjects of the articles.
– Henry Marquard, in-house counsel, Stanley Consultants Inc.
The piece highlighting my company, Bob Baker Enterprises, Inc., came out fabulous. Our company is in the new and used car sales and service industry. Everyone was great to work with and extremely professional. They produced a high-quality product and have provided expert assistance and guidance post-production of the article.

It was a great honor to be featured in Vanguard Law. Working with every member of the team, from the initial interview with Erin Clark, through production with Victor Martins, writing the article with Taryn Plumb and creating the final content with Dave Gushee, was a true pleasure. Everyone was very professional, enthusiastic and supportive, and their creative approach and positive attitude clearly came through in the final product.
