With vertical integration in highly automated electronics, CMOS camera development and manufacturing, vacuum coatings, and glass bending and fabrication, Gentex is a unique and profitable company. The organization delivers high-quality products to the automotive, aerospace, medical and fire protection industries, specializing in various technologies and processes.

Scott Ryan, vice president, general counsel, and corporate secretary for Gentex, did not initially envision a career in law. With a background in electrical engineering from Michigan State University, he was naturally drawn to math and science, following in the footsteps of a family of engineers. However, after completing his degree and gaining internship experience, he realized he did not want to do pure engineering work daily.

“As an undergrad, I wasn’t planning on attending law school,” Ryan admits. “I took a business law class to get undergraduate general education credits and got to know the professor. That led me to look into law as a career. Once I was in law school, I was amazed at the different ways you can use a law degree.”

Ryan earned his Juris Doctor from Michigan State University College of Law. He began his legal career in the prosecutor’s office and then transitioned to a patent attorney in private practice for over six years. This foundation in intellectual property law served as a launching pad for his transition into corporate legal leadership at Gentex, where he started in December 2010 in patent law and steadily climbed the ranks.

“I started as an IP attorney, but my role expanded over time,” he says. “Now, I work beyond just the legal side.”

An expanding role

As Ryan progressed in his career at Gentex, his responsibilities evolved to encompass legal and compliance functions. In his current role, which he assumed in August 2018, he oversees a global legal team of nine attorneys and manages various compliance-related functions. His purview extends far beyond intellectual property law.

“I still have an IP team that reports to me, but from a legal perspective, I also oversee contracts, privacy, labor and employment, M&A, corporate governance and other key legal areas,” Ryan explains. “As corporate secretary, I ensure that the full range of legal support a company needs is handled properly.”

Beyond traditional legal oversight, Ryan is pivotal in the company’s compliance framework. He leads functional teams responsible for Environmental Health & Safety, Product Compliance, Trade & Customs (including importing, exporting and tariffs) and ESG.

“Understanding the technology behind our products is important for my team,” he says. “It allows us to address regulatory requirements effectively and structure deals in ways that make sense for our business.”

Ryan has also co-managed the company’s recent merger with VOXX International, a significant strategic move for Gentex.

“This was a big one—we just announced a couple of weeks ago that we signed a definitive agreement for the merger,” Ryan shares. “I led that effort with our CFO through negotiations. Now we’re working towards closing late in the first quarter or early in the second quarter and also post-merger integration.”

The merger allows Gentex to expand its product line, leveraging VOXX’s automotive aftermarket business and premium audio segments.

“This helps grow our diversification beyond just automotive,” Ryan notes. “Accessing a business unit with years of direct-to-consumer experience is exciting.”

Leadership, growth & mentorship

Ryan’s role extends beyond the legal and compliance teams. He is deeply involved in shaping corporate direction and mentoring emerging company leaders.

“My job is to translate corporate growth targets and strategies into actions and directions for my teams,” he says. “If we’re moving into new industries, compliance teams need to be looking into new regulations. Everything is a work in progress. The world is always changing, and we need to adapt.”

A firm believer in continuous improvement, Ryan avoids the mindset of doing things “just because we’ve always done it that way.”

“Are we better than we were before? Yes. Are we where we want to be? No, and we’ll never get there,” he acknowledges. “That’s the nature of business—you must always refine and evolve.”

Ryan has built the company’s legal and compliance framework from the ground up. “Nobody was in this role before I stepped into it,” he explains. “I wasn’t taking over an established department; I was creating and building these teams from scratch.”

Beyond his internal leadership role, Ryan is passionate about mentorship within and outside the legal profession.

“I enjoy the mentorship side, whether it’s attorneys on my team or non-attorneys across the company,” he says. “We have a mentor-mentee program for up-and-coming leaders in the organization. It’s been a fun part of my journey to guide others in their careers.”

Ryan also values the relationships he has built throughout his career.

“I still have great connections from my time in law firms—good friends and mentors. I’ve been fortunate in that regard,” he says.

In addition to his corporate role, Ryan is interested in expanding his influence in other ways.

“As I get further into my career, I want to support others differently,” he reflects. “I’ve served on boards and enjoy that work. Public speaking is another area I find rewarding—participating in roundtables and discussions at conferences. It’s nice to talk about industry topics in a collaborative environment rather than always being in adversarial legal situations.”

Work-life balance

Despite his demanding role, Ryan makes time for personal interests and family. Living in Western Michigan, he enjoys the region’s natural beauty and outdoor activities.

“We have a short summer, but there’s no better place in the world during that time—perfect summer weather, boating and golfing. Getting out on the water is great,” he says. “In the winter, I enjoy downhill skiing.”

However, much of his free time is dedicated to his family.

“My kids take up any time I have left,” he laughed.

His daughter, a college freshman, is studying physiology, while his son, a high school senior, plans to pursue pre-medicine.

Ryan’s ability to balance a high-level corporate role with personal fulfillment underscores his well-rounded approach to leadership. This approach combines technical expertise, strategic vision and a deep commitment to mentorship and continuous growth.
